HNA FAQ
In accordance with the Town of Orangetown Request for Expressions of Interest regarding the HNA Palisades Conference Center located in the Town of Orangetown, we offer the following responses to the Questions that were submitted:
1. Q. Does the Town have additional Surveys, CAD Drawings, Building Plans, Inspection and Geotechnical Reports and other technical information regarding the Site?
A. The Town has posted whatever materials it has on the Town Website or as part of the RFEI, including certain materials submitted by HNA and the Town in connection with HNA’s prior approved Application for a Zoning Change from a CO to OP Zoning District in 2018. Various of the information some Interested Parties have requested are already on the Town’s Website. You can access the Data File on the Town’s Website by https://www.orangetown.com/hna/. We will update the File as we obtain additional information. Please note that the Town is not expecting Interested Parties to submit engineered or detailed to scale Site Plan Drawings as part of their Submissions. Conceptual Drawings & Plans, and supporting profiles and visuals will suffice for this round.
2. Q. Are there any known current violations effecting the Property?
A. There are no known violations.
3. Q. Will the Town be making the Sign-In Sheets and Submissions publicly available?
A. The Town will not be making such information public or available to the other Interested Parties at this time.
4. Q. Will the Town be requiring net worth or financial statements from Interested Parties?
A. The Town, as one of its criteria, will be interested in the financial viability of the Interested Party, and its ability to finance its Proposal. Certified Financials and similar documentation is not required.
5. Q. Are there any environmental concerns regarding the Property?
A. The Town is not aware of any. This will undoubtedly be part of the scope of work during the Due Diligence Period provided to the selected Party.
6. Q. Is there any protection against a RFEI winner being outbid, and the other buyer using their proposal?
A. The Town will select a number of finalists. Thereafter, issues such as acquisition and purchase price, and other transactional issues will be discussed in more detail, and incorporated into a Development Agreement. We will assume all Parties and especially any finalists will respect and the Town will seek to establish guidelines to protect the integrity of the process.
7. Q. Is the Town interested in leasing or purchasing any portion of the Property?
A. No, not at this time.
8. Q. Will the Town consider “deferring taxes” until the Project is stabilized, or other forms of financial assistance?
A. The Town is open to assisting the selected Party and proposed Project to the extent such assistance is necessary and feasible. Such potential arrangements will be discussed with the finalists, as well as negotiated as part of the Development Agreement to be consummated with the selected Party.
9. Q. If certain land is placed in a conservation easement or park, will the Town allow such lands to be used to calculate density? Also, what are the Town’s thoughts regarding uses for the Property so that an Interested Party can plan accordingly?
A. As mentioned in the RFEI, the Town is committed to working with the selected Party to implement zoning and other regulatory modifications necessary to accommodate the selected Proposal in accordance with the criteria and visions expressed in the RFEI. It encourages all Interested Parties to use its resources and experience to design and submit its most dynamic and creative Proposal, which it believes meets such criteria. The Town purposely did not want to preclude any use, or dictate any particular program and design in advance.
10. Q. One of the Interested Parties, an architect and developer of unique country homes, is looking for “a partner who might lease, or would purchase the building facility, if this entity purchased the Property?”
A. If anyone is interested, please provide your information to Allison Kardon (akardon@orangetown.com) with the Town, and we will forward it to such Party. If anyone else is looking for a specific partner in a particular area, please contact Allision and we will circulate such information to the other Interested Parties while keeping your identity confidential.
11. Q. Will there be any additional Site Visits?
A. None at this time are planned. However, if you contact Allison Kardon at akardon@orangetown.com, she will inquire whether she can schedule a time with HNA, although there is no guarantee.
REMINDER: ALL SUBMISSIONS ARE DUE IN THE TOWN OFFICES BY MARCH 15TH BY 5 PM
